Terms of Service for Website Design/Development- Web Choice UK, 36 Goldcroft, Yeovil, Somerset, BA21 4DH.

Definition of terms

1. ‘Web Choice UK’ is the company that undertakes any design/ redesign and development work at the request of the client.
2. ‘Client’ is any person, persons, organisation or business who uses the service of Web Choice UK for the purpose mentioned in the Order Confirmation.
3. ‘Project’ is the service undertaken by Web Choice UK for the client at the request of the client.
4. ‘Parties’ - Web Choice UK and the Client for whom Web Choice UK undertakes the project.
5. ‘Order Confirmation’ is the statement of requirements of the client as documented by Web Choice UK and agreed by the client.

Terms and Conditions

1. The agreement between Web Choice UK and the Client shall be based on the terms and conditions mentioned below and the agreed content of the Proposal.
2. Any requested changes by the client over and above the agreed Proposal, shall be considered ineffective unless it is communicated in writing and agreed between Web Choice UK and the Client.
3. Web Choice UK reserves the right to refuse to design/develop a website if it becomes apparent that the purpose of the website is illegal and unethical in our judgement and we shall not undertake any project if it fails to comply with any legal requirements. We expect the client to reveal the entire purpose of the design work before commencing the work in order to avoid any unforeseen situation that may arise after the agreement is confirmed.
4. Web Choice UK reserves the right to change any of the clauses in this T&C at their own discretion without informing the client.
5. Prior to undertaking any work for the client, a discussion will take place between Web Choice UK and the client to determine the scope , detail and purpose of the website being requested.
6. The outcome of this discussion will be documented in a Proposal which will be emailed to the client.
7. The Client having checked and agreed these documents must confirm acceptance via email. Any changes to the Proposal can be discussed by both parties and applied prior to final agreement by the client.
8. The web design/development and any other service will start only after receiving an initial deposit of 30% of the project cost unless otherwise agreed between Web Choice UK and the client.
9. The initial deposit paid by the Client covers administration charges and any related costs including design/ development works carried out by Web Choice UK for the client and will not be refundable if the client does not proceed with the project. However we will do everything within our power to provide a reasonable service to the Client. If the client decides to stop working with us after we have done considerable design and development work, the client agrees to pay us the full agreed price or the amount decided by us that will legitimately cover the cost of design and development works carried out by us.
10. Web Choice UK reserves the right to suspend or withdraw any site developed by us after it goes live if the agreed development cost is not paid by the client within 7 days of launching the site, unless otherwise agreed by the parties. The site will be reinstated once the outstanding payment is made by the Client.
11. For the general web design packages that we offer, Web Choice UK shall undertake to carry out flash animations on the website up to 5 hours of Flash development time by our flash designers. If the client requires additional flash animation, a separate quote will be given.
12. The Client agrees to accept the limit and scope of our SEO (Search Engine Optimisation) services, which includes advice to the client on keyword choice, site submission to major search engines including Google, Yahoo and MSN. Web Choice UK does not guarantee any ranking in search engines and we do not provide any ‘black hat’ SEO techniques in any sites designed by us. We do not provide any link building to the web sites we create other than the links from our own web site.
13. Web Choice UK will use the images and photographs provided by the client, in the website created for the client. When images are supplied by Web Choice UK, the client must not use or manipulate these images for any other purpose other than use in their website.
14. Web Choice UK shall not be in any way responsible for any damage caused by third parties that affects the Client’s business and profits.
15. Errors and mistakes in text and images in website’s content can happen and will be corrected immediately by Web Choice UK upon detection or notification.
16. Project completion time is only an estimate and is subject to change for a variety of reasons but most commonly, delays by the Client in supplying sufficient material in the form of content and images, which lengthens the development process, and Web Choice UK would appreciate cooperation from the client in this matter and will do all that is possible to keep to agreed deadlines.
17. Web Choice UK has no control over the content of the websites we design and the Client agrees to indemnify Web Choice UK of any actions arising out of legislation. The Client agrees to accept full legal liability for the final content of material published by Web Choice UK on the Client's behalf and under the Client's instructions.
18. The ownership of the website will remain with Web Choice UK until the full cost is paid by the Client and the same shall be transferred to the client once the full payment is made.
19. Any cheque returned by the bank will incur an additional administration charge of £20, which will be added to the outstanding payment.
20. The domain name shall be registered by Web Choice UK on behalf of the client and the relevant cost for the domain name registration will be paid by Web Choice UK for the client, unless otherwise agreed.
21. The cost of domain name registration will be for a period of one year, unless otherwise agreed, and the renewal charges for the domain name after that period, will be the responsibility of the client. Web Choice UK will contact the client in good time to remind the client of the renewal of the domain name. The Client is free to register his/her domain name through any other registrar if they wish and in such cases, the responsibility for transferring the domain name and the fees associated with it is with the Client.
22. Domain name registration shall be done by Web Choice UK in our registered address, even though the client is the owner of the domain. We will endeavour to change or transfer such details upon Client’s request.
23. Web Choice UK agrees to host the site for the Client free of charge for a period of one year. The storage space provided to individual clients shall be 250MB with a monthly bandwidth of 500MB. If the Client’s website requires more space and band width, the Client will be informed by Web Choice UK and alternative suggestions will be given to the client.
24. Payment for the hosting charges after the completion of the first year, will be the responsibility of the client. Web Choice UK will inform the client in time for the renewal of hosting. If the client wishes to transfer the hosting to another party after the completion of this period, an administrative charge of £25 will be incurred.
25. The Client is free to host their website with any other hosting service provider right from the launch of the website, if the client does not wish to use our hosting service and in such cases the client also agrees to pay the domain name transfer charges, as applicable, if the domain is registered by Web Choice UK. Otherwise, the client agrees to register their own domain name.
26. Web Choice UK uses reseller hosting service from third parties for all our clients and we reserve the right to change it on our own discretion without informing the Client, but agree to provide same or even better hosting service.
27. Web Choice UK shall provide 99.95% uptime to our clients in the normal circumstances, but we do not guarantee it and shall not be responsible for any unprecedented problems attributed to acts of God resulting in server failure.
28. Web Choice UK reserves the right to place a link in all websites designed by us, that returns to our website and the Client agrees to keep this link on the Clients website indefinitely, unless otherwise agreed as in the case of White Labelled Website.
29. The client agrees to provide sufficient content for the site for the design project to be completed in time. If the client fails to provide sufficient content for the website and the designing process is incomplete, Web Choice UK will maintain all details provided by the client in our files for a period of up to 1 year, after which it will be deleted from our systems.
30. By agreeing to these Terms and Conditions, your Statutory Rights are not affected.
